  1. REFUELEX Rewards Program: Overview
  1. The Rewards Program is a reward program offered at the sole discretion of REFUELEX. (“REFUELEX”) under these Rewards Terms as set out below (the “Rewards Terms”). These Rewards Terms govern the Rewards Program, including REFUELEX’s relationship with members of the Rewards Program (collectively, “Rewards Members” or “Members” and individually, a “Rewards Member” or “Member” or “you” or “your”), and how Members manage their accounts and earn and redeem Rewards Program points (“Points”). For clarity, Points are not REFUELEX Credits.
  2. The Rewards Program is a component of the REFUELEX Platform that is only available to Members. By agreeing to the REFUELEX Platform Terms of Service (the “Terms of Service”), you will be deemed to have also agreed to these Rewards Terms, as further set out in the Terms of Service. However, you will only be entitled to participate in the Rewards Program if you meet the eligibility criteria and become a Member in accordance with Section 2 below.
  3. These Rewards Terms will form part of your agreement with us, together with the Terms of Service, Privacy Policy, and other terms that may form part of your agreement with us from time to time. Participation in the Rewards Program is subject to these Rewards Terms as well as those other terms. In the event of a discrepancy between these Rewards Terms and the Terms of Service, the Terms of Service will govern.
  4. Capitalized terms used but not defined in these Rewards Terms have the meaning given in the Terms of Service.
  1. Membership Enrollment and Eligibility
  1. Membership in the Rewards Program is free and, provided you are eligible, enrollment occurs automatically (a) when we accept your request to create a REFUELEX Account, if you create a REFUELEX Account after the initial version of these Rewards Terms comes into effect, or (b) when these Rewards Terms come into effect or otherwise become binding on you, if you already have a REFUELEX Account at that time.
  2. To be eligible for membership in the Rewards Program, you must: (a) be eligible for a REFUELEX Account in accordance with the Terms of Service, (b) hold, or have submitted a request to create, a REFUELEX Account; (c) possess the legal authority to agree to the Rewards Terms; and (d) reside in a jurisdiction which legally permits participation in the Rewards Program in accordance with these Rewards Terms. The Rewards Program is only intended for use within Nigeria.
  3. REFUELEX will use your personal information to administer the Rewards Program. By enrolling in the Rewards Program, you consent to the collection, use, and disclosure of your personal data by REFUELEX, in accordance with our Privacy Policy, these Rewards Terms, our Terms of Service, and other documents that form part of your agreement with us. Without limiting the generality of the Privacy Policy, the personal information that we use to administer the Rewards Program may include: (a) your name, phone number, and email address, to administer your account; and (b) additional, optional personal information that we may request from time to time and which you may choose to provide, such as mailing address and birth date, to determine your eligibility for offers, Points, rewards, and other benefits under the Rewards Program. We will also use your order history together with the aforementioned information to permit us to determine your eligibility for offers, Points, rewards, and other benefits under the Rewards Program.
  4. Points are uniquely associated with a single REFUELEX Account. Unless expressly authorized by REFUELEX, no person may earn or redeem Points or otherwise hold membership in the Rewards Program except in connection with a single REFUELEX Account held by that person in accordance with the Terms of Service.
  5. We reserve the right at any time to restrict access to or use of the Rewards Program (a) to individuals for their personal use only, and (b) to one account per person. Additionally, employees, agents, and representatives of REFUELEX or its affiliates may from time to time be excluded from certain benefits of the Rewards Program.

III. Earning Points

  1. The Rewards Program is a way in which REFUELEX rewards and thanks customers for placing Orders. Subject to these Rewards Terms:
    • Members are able to earn Points and increase their status as further set out in Section 4 below (“Status”) by completing Orders on the REFUELEX Platform which qualify to earn Points in accordance with these Rewards Terms (“Eligible Orders”) or taking certain other Rewards Program actions;
    • Each Status entitles the Members to earn Points from Eligible Orders at the rate associated with the Status, and may entitle the Member to additional benefits as determined by REFUELEX from time to time in its sole discretion, for so long as the Member holds the relevant Status; and
    • Members may redeem Points in exchange for certain benefits and rewards, including credit toward Eligible Reward Orders. An “Eligible Reward Order” means an Order placed on the REFUELEX Platform that the Member is eligible to pay for in whole or in part by redeeming Points toward that Order in accordance with these Rewards Terms.
  2. There are ways to earn Points, as set out below:
    • Promotional Offers

From time to time, REFUELEX may, in its sole discretion, award Points to Members through promotions that may be offered on a limited-time basis (“Promotional Points Offerings”). Promotional Points Offerings will be subject to these Rewards Terms as well as such additional terms as may be communicated at the time of the Promotional Points Offering. For clarity, REFUELEX has no obligation to provide Promotional Points Offerings. Promotional Points Offerings may include “multiplier” offers (“Points Multipliers”) allowing Members to earn Points from Eligible Orders. In the event that more than one Points Multiplier is applicable, only the higher Points Multiplier will be applied.

  1. Subject to these Rewards Terms, when a Member earns Points, the number of Points earned by the Member will be added to the Points balance associated with the Member’s REFUELEX Account. Points will be calculated and applied to a REFUELEX Account in relation to an Eligible Order (a) only after the Eligible Order has been verified as completed on the REFUELEX Platform as determined by REFUELEX’s records, and (b) based on the Points earning rules applicable to that Member and that Eligible Order (such as Status and Promotional Points Offerings) at the time the Order is completed and calculated, and not based on the time the Order was placed. For clarity, Points will not be awarded for Orders which are cancelled, not delivered, not picked up, returned, or otherwise incomplete, except at REFUELEX’s sole discretion.
  2. After you have placed an Eligible Order, your REFUELEX Account may be updated to show you “pending” Points (“Pending Points”). Pending Points are not Points and are not available for you to spend. The Pending Points figure reflects the number of Points that you will earn if the Eligible Order (or multiple Eligible Orders) is completed. Points may also be shown as Pending Points for a period of time after you have completed the Eligible Order with which those Points are associated, while we are still processing the addition of those Points to your REFUELEX Account. Pending Points may be removed from your account if your Eligible Order is not completed or if you otherwise become disentitled to earn them.
  3. Points will generally be fully credited to your REFUELEX Account within 24 hours after you have earned them, or up to one (1) week in some cases. REFUELEX is not liable to you for any delay in crediting Points to your REFUELEX Account.
  4. If you earn Points in a manner not permitted by these Rewards Terms, REFUELEX may deem, in its sole discretion, any such Points to be invalid and cancel them, which will result in the removal of such Points from your REFUELEX Account without prejudice to REFUELEX’s other rights.
  5. You may not hold more than ,000 Points at any time (the “Points Cap”). Once the total number of your Points reaches the Points Cap, you must redeem Points in order to be eligible to earn more Points. We reserve the right to increase or decrease the Points Cap at any time, subject to applicable law.
  1. Rewards Status
  1. Each Member has a Status associated with the Member’s account. The Member’s Status determines the number of Points that the Member will earn on Eligible Orders (i.e. the Status Factor) and may from time to time provide the Member with additional benefits as determined by REFUELEX in its sole discretion (“Additional Status Benefits”). Members may increase their Status by placing multiple Eligible Orders within a single calendar month in accordance with this Section 4, or by taking other actions as may be determined by REFUELEX in its sole discretion from time to time.
  2. There are two Status levels, as follows: – Level 1, “Orange” – Level 2, “Gold”
  3. REFUELEX may from time to time change the name associated with each Status and, subject to applicable law, may add, remove, or modify Statuses and make consequential amendments to these Rewards Terms in its sole discretion. For clarity, different Statuses may have the same or a different Status Factor.
  4. Upon joining the Rewards Program, each Member will start at Status level 1.
  5. A Member’s Status will upgrade from Status level 1 to Status level 2 after the Member has completed four (4) Eligible Orders within a single calendar month. The Member will retain Status level 2 for the remaining duration of the calendar month in which the Member earned Status level 2, and for the entire following calendar month.
  6. At the beginning of each calendar month, a Member will revert to Status level 1 if the Member did not complete enough Eligible Orders during the immediately preceding calendar month to earn an upgrade to Status level 2 or otherwise take actions entitling the Member to earn a higher Status. For example:
    • A Member who enters the month of September with Status level 2 as a result of completing four (4) Eligible Orders in August will revert to Status level 1 on October 1 if the Member does not complete at least four (4) Eligible Orders in September.
    • However, if the Member mentioned in subsection (a) above completes four (4) Eligible Orders in September, the Member’s Status would remain at Status level 2 for the month of October.
  7. An Eligible Order will be deemed to have been placed within a calendar month if it is completed within that calendar month as determined by REFUELEX’s records. REFUELEX will not be liable to any Member or other person for any failure of REFUELEX to credit an Order to a particular calendar month, whether that failure results from a delivery that is earlier or later than anticipated, a failure or delay by a courier or fuel station in marking an Order as completed, or otherwise.
  8. Your Status may take up to twenty-four (24) hours to upgrade after completing an Eligible Order or taking another action that entitles you to a Status upgrade. Benefits associated with a Status upgrade (i.e. Status Factors and Additional Status Benefits) will not be available to you until after the upgrade in your Status has been reflected in our records.
  9. Any Additional Status Benefits that REFUELEX chooses to provide from time to time are provided in the sole discretion of REFUELEX. Additional Status Benefits may be subject to additional restrictions and terms. REFUELEX reserves the right to modify or revoke Additional Status Benefits at any time.
  1. Redeeming Points
  1. To “redeem” means to use your Points to pay, or partially pay, for Eligible Reward Orders on the REFUELEX Platform by selecting the appropriate option at the checkout page, or following the instructions provided on the REFUELEX Platform. Subject to these Rewards Terms (including the exclusions set out in Section 7 below), you may redeem Points toward Eligible Reward Orders, or for any other purposes of which we may advise you from time to time (“Additional Reward Offers”).
  2. Upon redeeming Points, the number of Points that you redeemed will be deducted from the Points balance associated with your REFUELEX Account. When you redeem Points in conjunction with an Eligible Reward Order, the Points will be deducted from your REFUELEX Account at the time that you place the Eligible Reward Order.
  3. Subject to these Rewards Terms, each set of two thousand five hundred (5,000) Points held by a Member may be redeemed by that Member for a credit of two hundred and fifty Naira (₦250) toward an Eligible Reward Order. You may redeem multiple sets of Points in increments of 5,000, 10,000, or 20,000, 40,000 points only, for credits of ₦250 per 5,000 Points, up to the maximum number of Points that we allow you to redeem and that you hold. For clarity, the minimum number of Points that you can redeem is 5,000 Points and you may not redeem any Points until you have accrued at least 5,000 Points in a single REFUELEX Account. Subject to applicable law, REFUELEX reserves the right (a) to decrease the minimum increments in which you may redeem Points, (b) to allow you to redeem multiple sets of Points in additional multiples, and (c) to increase the minimum increments in which you may redeem points or to remove your ability to redeem multiple sets of Points in certain multiples.
  4. We are not required to refund Points, or otherwise provide compensation to you for Points, that you redeem toward an Eligible Reward Order that is subsequently cancelled or is otherwise not successfully completed. If we choose to do so, we may provide such refund, credit, or compensation in the form of Points, as REFUELEX Credits, or through such other means as we may choose in our sole discretion. For clarity, you are not entitled to redeem Points toward REFUELEX Credits, gift cards, or anything else other than Eligible Reward Orders or Additional Reward Offers.
  5. You may not redeem more Points than you hold at the time you attempt to redeem them. You may not redeem an amount of Points that exceeds the Points Cap in any single transaction.
  6. Additional Rewards Offers may be provided from time to time in the sole discretion of REFUELEX. Except to the extent that the contrary is set out in the terms that accompany an Additional Rewards Offer, the terms set out in these Rewards Terms that govern Eligible Reward Orders will also govern Additional Rewards Offers.
  1. Expiration of Points
  1. We may cause all Points in your REFUELEX Account to expire or may otherwise remove Points from your REFUELEX Account if:
    • You do not earn or redeem any Points in your REFUELEX Account for a period of at least twelve (12) consecutive months;
    • Your REFUELEX Account, your participation in the Rewards Program, or your license to use the REFUELEX Platform as a Customer in accordance with the Terms of Service, is suspended or terminated for any reason; or
    • Otherwise as set out in these Rewards Terms.
  2. Expired and removed Points will be permanently removed from your REFUELEX Account, without any compensation to you. You will be unable to redeem any expired or removed Points.
  3. Except to the extent required by applicable law, we are not required to notify you before we remove your Points or cause your Points to expire, although we may choose to do so in our sole discretion. Our choice to send notices of expiration or removal in one instance does not mean that we are required to send notices of expiration or removal in other instances.
  4. REFUELEX will not be liable to you in connection with expired or removed Points, will not provide any compensation for expired or removed Points, and will not reinstate the value of expired or removed Points, in connection with any expiration or removal of Points carried out in accordance with these Rewards Terms.
  5. Notwithstanding any other provision of these Rewards Terms and to the maximum extent permitted by applicable law, we reserve the right to revoke Points without notice if we reasonably determine that the Points were acquired fraudulently, or otherwise in connection with action that we take against an account (including but not limited to the closure of the account) in response to fraudulent or criminal activity

VII. Earning and Redemption Exclusions

  1. Points cannot be earned on any of the following: (i) purchases of gift cards or REFUELEX Credits; (ii) tips; (ii) delivery or other fees; (iv) purchases made with cash; (v) taxes; (vi) any purchase not made through the REFUELEX Platform in your capacity as a Customer; (vii) any other products or services that may not legally be offered in connection with the Rewards Program as administered by REFUELEX or as otherwise required to comply with applicable law. In addition, REFUELEX may in its sole discretion, from time to time, determine that specific purchases are ineligible to earn points, such as, by way of example but not limited to, alcohol and any other products or services that we specify. For clarity, Promotional Points Offerings may be presented on a promotional time-limited basis, and you will not be able to earn Points in connection with such a Promotional Points Offering after it ends.
  2. Points cannot be redeemed toward any of the following: (i) gift cards or REFUELEX Credits; (ii) purchases made with cash; (iii) any purchase not made through the REFUELEX Platform in your capacity as a customer; (iv) any other products or services that may not legally be offered in connection with the Rewards Program as administered by REFUELEX or as otherwise as required to comply with applicable law (which may include any order containing one of the aforementioned items), or (v) any other products or services that we may specify from time to time in our sole discretion. Certain redemption opportunities may be presented on a promotional time-limited basis, and you will not be able to redeem Points in connection with such an opportunity after it ends.
  3. REFUELEX reserves the right (a) to deem any Order wholly ineligible to constitute an Eligible Order if any portion of that Order (other than tips, delivery fees, and taxes) is not eligible to earn Points in accordance with these Rewards Terms, and (b) to deem any Order wholly ineligible to constitute an Eligible Reward Order if any portion of that Order is not eligible to be paid for by Points in accordance with these Rewards Terms.
  4. Members will not earn Points on the portion of an Order discounted by way of a voucher or otherwise, or paid for by way of a voucher, Points, coupon, or other promotional offer or discount, or for which a Member receives a refund (for service-related reasons or otherwise) except as we may permit from time to time in our sole discretion. For greater certainty, a Member will only earn Points on the portion of the value of an Eligible Order paid for by credit card, debit card, cash (except as restricted by REFUELEX), or REFUELEX Credits. REFUELEX reserves the right to exclude Orders paid in whole or in part by way of company account or invoice from eligibility to constitute Eligible Orders or Eligible Reward Orders.
  5. Points you earn upon placing an Order cannot be redeemed for that Order and can only be redeemed for a subsequent Eligible Reward Order.

VIII. Other REFUELEX Point Rules

  1. In any one transaction, Points may only be earned once, and may only be credited to a single REFUELEX Account. While you may not earn the same Points twice in one transaction, some transactions may allow you to earn Points in multiple ways. For example, you may be eligible to earn Points for placing an Eligible Order, plus earn bonus Points as a result of a Promotional Points Offering in effect in connection with that Eligible Order.
  2. Points will be calculated at the time that an Eligible Order is marked as completed according to REFUELEX’s records, and in accordance with the Points earning rules applicable to you that are in effect at that time. For example, if a Points Multiplier comes into effect after you place an Eligible Order but before the Order is completed, the Points Multiplier (if otherwise applicable to the Eligible Order) would apply to the Eligible Order.
  3. Points will only be awarded based on the Eligible Order as originally placed, except as may be permitted by REFUELEX in its sole discretion. Accordingly, if you add an item to an Order or your Order is otherwise modified after initially being placed, you may not receive additional Points for the newly increased value of the Order.
  4. If for any reason an Eligible Order is cancelled or modified or you receive a refund (including service credit or voucher) in connection with that Order after you have earned Points for that Order, your Points balance may be reduced by the number of Points earned in connection with the portion of the Order that is cancelled, modified, or refunded, at REFUELEX’s sole discretion.
  5. REFUELEX’s records of the number of Points earned, redeemed or deducted shall be deemed conclusive and binding for all purposes. If you have a concern regarding your Point balance, you must contact REFUELEX and provide relevant evidence within 30 days from the relevant transaction date to report any discrepancies, and REFUELEX may in its sole discretion take any action that REFUELEX deems appropriate. If we do not hear from you within 30 days, it means you agree with us about those Points.
  6. The number of Points displayed on your REFUELEX Account may not consistently reflect your current Points balance according to our records. To the extent permitted by law, we accept no liability for any errors in the Points balance displayed on the REFUELEX Platform. If any Points are awarded to your REFUELEX Account in error, we reserve the right to deduct the number of Points awarded in error at any time and without notice to you. We are not obligated to honour a request to redeem Points added to a REFUELEX Account in error. Points will not be awarded and may be rescinded if in our reasonable opinion the Order was placed by a person not eligible to be a Member or not otherwise eligible to receive those Points. We reserve the right to limit Points awarded with respect to any offer or promotion (including but not limited to Promotional Points Offerings) to reasonable quantities.
  7. You are responsible for all redemptions on your REFUELEX Account, including any redemptions made on your REFUELEX Account, and any redemptions made on your REFUELEX Account as a result of unauthorized access to your REFUELEX Account, such as due to a failure to safeguard your password.
  8. Points have no cash value and are not exchangeable for cash. Except as permitted from time to time by REFUELEX, Points cannot be assigned, exchanged, purchased or given by gift. Points cannot be sold, traded, bartered, rented or otherwise disposed of. Points are void if sold for cash or any other consideration. You may not set off Points from any debt that you owe to REFUELEX, under any legal or equitable theory.
  9. Subject to applicable law, if your REFUELEX Account or access to the REFUELEX Platform is closed or terminated for any reason, any Points accumulated in your REFUELEX Account which are not redeemed before the closure of your REFUELEX Account or termination of access to the REFUELEX Platform will be forfeited and removed from your REFUELEX Account.
  1. Changes to the Program
  1. We reserve the right to restrict, suspend, substitute or otherwise change any aspect of the Rewards Program. We may modify all or one or more elements of these Rewards Terms at any time, including but not limited to the following elements:
    • The eligibility conditions for participating in the Rewards Program;
    • The manner in which a Member participates in the Rewards Program;
    • The manner and rate at which Points are earned;
    • The manner and rate at which Points are redeemed;
    • Conditions for redeeming Points;
    • The value of Points earned and redeemed;
    • The circumstances under which we may revoke Points or cause them to expire;
    • Any element which we have indicated in these Terms may be changed by us from time to time; and
    • This Section 9.
  2. If these Rewards Terms, or any aspect of the Rewards Program, are restricted, suspended, substituted or changed, we are only required to provide you with notice to the extent set out in these Terms or our Terms of Service and in accordance with applicable law.
  1. General
  1. We reserve the right to terminate the Rewards Program, or any part of it, at any time on 60 days prior written notice, which we may provide to you by posting such notice online through the REFUELEX Platform, or by electronic means of communication (including email or SMS) to your contact information specified in your REFUELEX Account, or by other reasonable means. If the Rewards Program is terminated, any Points remaining in your account at the time of account expiration may be forfeited without compensation.
  2. We reserve the right to sell or transfer all or part of the Rewards Program to a related company or to a third party, to merge with another entity or to engage in any form of corporate, reorganization or financing transaction. In addition, the manner in which the Rewards Program is provided to you may change. Please refer to our Privacy Policy for details as to how your personal information would be handled in such cases.
  3. Subject to applicable law, we reserve the right to refuse to allow you or any person to participate in the Rewards Program for any reason in our sole discretion, including for not meeting the eligibility requirements or for having a REFUELEX Account closed previously.
  4. We may, at any time, suspend or cancel your participation in the Rewards Program for failure to comply with these Rewards Terms, the Terms of Service, the REFUELEX Social Code, or any other part of your agreement with us.
  5. We reserve the right to withdraw or temporarily change or suspend all or part of the Rewards Program in any way, in the event of a material error, omission, technical problem, computer virus or bugs, tampering, unauthorized intervention, fraud, technical failure or any other cause beyond our reasonable control that interferes with the proper conduct of any aspect of the Rewards Program as set out in these Rewards Terms. Any attempt to deliberately damage any website or to undermine the legitimate operation of the Rewards Program in any way (as we may determine in our sole discretion) could be a violation of criminal or civil laws and should such an attempt be made, we reserve the right to seek remedies and damages to the fullest extent permitted by law.
  6. For the avoidance of doubt, the Rewards Program forms a part of the REFUELEX Platform and these Rewards Terms are subject to the Terms of Service. All applicable provisions of the Terms of Service and of any other applicable part of your agreement with us apply to and govern your use of the Rewards Program, INCLUDING BUT NOT LIMITED TO THE DISCLAIMERS OF WARRANTIES, LIMITATIONS AND EXCLUSIONS OF LIABILITY, AND INDEMNITIES CONTAINED THEREIN.

III. PROMOTIONAL VOUCHERS, REFER-A-FRIEND PROGRAM, GIFT CARDS AND REFUELEX CREDITS AND CONTESTS

  1. Promotional Vouchers

The following terms and conditions will apply to all vouchers issued for free from time to time for promotional, advertising, or marketing purposes for use on Orders on the REFUELEX Platform (“Promotional Vouchers”):

  1. Promotional Vouchers may only be redeemed towards Orders on the REFUELEX Platform and may not apply to taxes or other items/fees/charges as determined from time to time by us. We reserve the right to limit or prevent the redemption of Vouchers towards orders containing certain goods or products, as communicated from time to time by us. Promotional Vouchers may have a specific dollar amount, may provide a percentage-based discount, or may have other effects (such as making a charitable donation). The particular terms of a Promotional Voucher (for example, the amount of any dollar or percentage discount, number of times the Promotional Voucher can be used, expiry date, area Promotional Voucher can be use, whether applicable for Pickup Orders or Delivery Orders or orders containing specific goods) any other rules that may apply are described in the information accompanying or in conjunction with the Promotional Voucher (for example, the social media post or advertisement where the Promotional Voucher was posted).
  2. Promotional Vouchers must be used in conjunction with a REFUELEX Customer Account. Promotional Vouchers must be applied to an online Order by no later than the deadline specified on the Promotional Voucher and will expire if not applied by this time. If the Promotional Voucher provides for a discount on an Order, an amount determined by the rules of the Promotional Voucher will be credited to the Order to which the Promotional Voucher is applied.
  3. The right to use a Promotional Voucher is personal to the original recipient and may not be transferred. No Promotional Voucher may be copied, reproduced, distributed, or published directly or indirectly in any form or by any means for use by an entity other than the original recipient, or stored in a data retrieval system, without our prior written permission. For greater certainty, Promotional Vouchers distributed or circulated without our written approval, for example on an Internet message board or on a “bargains” website, are not valid for use and may be refused or canceled.
  4. Promotional Vouchers may not be used in conjunction with other vouchers or any other discounts or promotions provided or advertised from time to time unless otherwise stated.
  5. Promotional Vouchers may not be exchanged, redeemed, or refunded for cash, and may not be transferred or assigned.
  6. No members of the REFUELEX Group will not be liable to you, any customer or household for any loss or claim arising out of the refusal, rejection, cancellation or withdrawal of any Promotional Voucher or any failure or inability of a customer or household to use a Promotional Voucher for any reason.
  7. For greater certainty, we reserve the right, at any time and in our sole discretion, to add to or amend terms and conditions (including these Terms of Service) in relation to the use of Promotional Vouchers or to vary or terminate the operation of a Promotional Voucher at any time without notice.
  1. Refer-A-Friend Program
  1. If you are a REFUELEX Customer Account holder, you may be entitled to voluntarily participate in the REFUELEX refer a friend program (the “Referral Program”). A unique alphanumeric code is assigned to your REFUELEX Customer Account, referred to as your personalized referral code (“Referral Code”). To participate in the Referral Program, you will need to refer friends who have never placed an order with us (“Friends”) and invite your Friends to use the REFUELEX Platform with your Referral Code.
  2. You will earn REFUELEX credit (“Referral REFUELEX Credit”) in the amount we determined from time to time once your Friend (“Referred User”) has completed an eligible order on the REFUELEX Platform (“Eligible Order”). Criteria for Eligible Orders is determined in our sole discretion from time to time. Referral Credit will be applied automatically against your item subtotal on your next Card Order, up to and including the item subtotal before taxes, tip, and delivery fee. If any credit happens to remain after being applied to the order, that credit will remain on your account. Referral Credits are subject to expiration and must be used within the timeframe, if stated or otherwise determined by us from time to time. The amount of Referral Credits earned and redeemed are subject to change at any time at REFUELEX’s sole discretion.
  3. The Referral Code may only be used for personal and non-commercial purposes. You may share your code with your personal connections via social media, email, or word of mouth, where you are the primary content owner. In cases where you are not the primary owner of the content or website (e.g., Wikipedia, coupon websites, affiliate websites, discussion forums, etc.), public distribution is not allowed. Promoting or advertising your Referral Code via search engine marketing or any other paid advertising media (e.g., Bing/Yahoo/Adwords) is not allowed. You are not allowed to misrepresent your relationship with any members of the REFUELEX Group or with the REFUELEX Services to any third parties, and you will not make any warranty or representation on behalf of any members of the REFUELEX Group. You are not allowed to refer yourself or members of your household for the purposes of earning Referral Credit.
  4. REFUELEX reserves the right, at its sole discretion, to deactivate your account(s) and revoke the Referral Credits of any account holder who it finds or believes to be earning or using Referral Credits against these Terms of Service, or who is manipulating or abusing the REFUELEX Services or the REFUELEX Platform.
  5. For greater certainty, we reserve the right, at any time and in our sole discretion, to add to or amend these Terms of Service in relation to the use of Referral Program or to vary or terminate the operation of a Referral REFUELEX Credit issued pursuant to the Referral Program at any time without notice.
  1. Gift Card Terms and REFUELEX Credits
  1. REFUELEX may grant you credit toward eligible purchases as set out in these terms (“Eligible Purchases”) in the form of REFUELEX gift cards (“Gift Cards”) or REFUELEX credit (“REFUELEX Credit”). When you purchase a Gift Card, you are purchasing credit toward Eligible Purchases in a particular dollar amount and currency that is stored in an electronic form and linked to a unique gift card claim code (“Claim Code”). To use a Gift Card, you must have a REFUELEX Customer Account, log in to your REFUELEX Customer Account, and apply the Gift Card to your REFUELEX Customer Account by entering the Claim Code on the REFUELEX Platform. REFUELEX Credit is credit toward Eligible Purchases in a particular dollar amount that is associated with a unique REFUELEX Customer Account. The value of REFUELEX Credit including credit from Gift Cards applied to your REFUELEX Customer Account is referred to as your “REFUELEX Credit Balance”. When you apply a Gift Card to your REFUELEX Customer Account, your REFUELEX Credit Balance will be credited by the dollar value of the Gift Card, and the value associated with the Claim Code will be reduced to zero. From time to time, REFUELEX may also issue REFUELEX Credit to you for other purposes (for example, to refund a purchase that you have made). Your REFUELEX Credit Balance includes the total remaining balance of all REFUELEX Credit that has been applied to your REFUELEX Customer Account by way of Gift Card or otherwise, but not yet applied to a purchase. To check your REFUELEX Credit Balance, log in to your REFUELEX Customer Account. To check the balance of a Gift Card before it has been applied to a REFUELEX Customer Account, simply review the email or other document in which you received the Gift Card, where the face value will be printed.
  2. The Eligible Purchases that you may purchase using Gift Cards and REFUELEX Credit consist of Goods, including all fees and costs on the Order for those Goods which you are permitted to purchase in accordance with these Terms of Service. REFUELEX reserves the right to restrict the use of Gift Cards and REFUELEX Credit to comply with applicable law. Gift Cards and REFUELEX Credit cannot be used to purchase anything other than Eligible Purchases and must be used in the currency in which they were paid or credited for.
  3. When you make a purchase from your REFUELEX Customer Account using REFUELEX Credit (including REFUELEX Credit from a Gift Card), the value of the REFUELEX Credit that you use for that purchase will be deducted from your REFUELEX Credit Balance. As long as you are only purchasing Eligible Purchases, you may use REFUELEX Credit to pay for all fees and costs on your Order, including but not limited to the cost of Goods, delivery charges, tips, and taxes. Any unused REFUELEX Credit Balance will remain associated with your REFUELEX Customer Account. If the cost of an Order exceeds your REFUELEX Credit Balance, the remaining amount must be paid with another payment method.
  4. Gift Cards and REFUELEX Credit do not expire. There are no fees associated with purchasing, using, or redeeming Gift Cards or REFUELEX Credit.
  5. Gift Cards and REFUELEX Credit cannot be resold (except with the express written permission of REFUELEX), used for payment outside the Eligible Purchases, transferred for value, returned for a cash refund, or redeemed for cash, except to the extent required by applicable law. Gift Cards cannot be reloaded. No portion of your REFUELEX Credit Balance may be transferred to another REFUELEX Customer Account or otherwise assigned or transferred to another person. REFUELEX Credit cannot be used in conjunction with Cash Orders.
  6. The risk of loss and title for Gift Cards pass to the purchaser upon our electronic transmission of the Gift Card to the purchaser or designated recipient. REFUELEX is not responsible if any Gift Card is lost, stolen or destroyed, if your REFUELEX Credit Balance or any Gift Card is used without your permission, or if you lose access to your REFUELEX Customer Account or any REFUELEX Credits.
  7. Gift Cards and REFUELEX Credit may be subject to any additional terms and conditions that will be specified in connection with the specific Gift Card and REFUELEX Credit grant.
  8. REFUELEX has the right to void Gift Cards or REFUELEX Credit, close REFUELEX Customer Accounts and bill alternative forms of payment if it suspects that a Gift Card is obtained, used or applied to a REFUELEX Customer Account (or REFUELEX Credit is applied to a purchase) fraudulently, unlawfully or otherwise in violation of these Terms of Service, or in a manner that abuses the REFUELEX Platform.
  9. For greater certainty, to the extent permitted by law, we reserve the right, at any time and in our sole discretion, to add to or amend terms and conditions (including these Terms of Service) in relation to the use of Gift Cards or REFUELEX Credit
  1. Contests/Competitions
  1. From time to time, REFUELEX may run contests or competitions (“Contests”). Those Contests will be subject to these Terms of Service, as well as rules specific to each Contest (“Contest Rules”).
  2. In general, Contests for Nigerian users will be open to individual residents of Nigeria over the age of majority in the province or territory in which they reside, with the exception of: i. employees, representatives and agents (and persons with whom they are domiciled, whether related or not) of REFUELEX Group, its advertising and promotion agencies.
  3. The Contest Rules may specify other eligibility rules.
  4. For greater certainty, subject to applicable law, we reserve the right, at any time and in our sole discretion, to withdraw any Contest, to add to or amend terms and conditions (including these Terms of Service) in relation to any Contest or to vary or terminate the operation of a Contest at any time without notice.
